SALES PROMOTION TERMS AND CONDITIONS

“Bharara Queen / Bharara Onyx Soccer World Championship Rebate”

1. Recital

This Conditional Rebate Program ("Program") is offered by EDGE U.S.A. INC, a New Jersey corporation, doing business as "Bharara Beauty" (the "Company"), with its principal place of business at 69 Pittis Avenue, Allendale, New Jersey 07401.

This Program is a sales promotion offering a conditional rebate based on the outcome of a sporting event. This Program is not intended to be, nor does it constitute, a contest, sweepstakes, lottery, or game of chance. Purchasers are purchasing a Qualifying Product for their own personal use and benefit, and every eligible purchaser who satisfies the conditions herein receives the rebate as a conditional incentive related to that retail purchase.

Eligibility for a rebate is contingent solely upon the purchase of a Qualifying Product during the Purchase Window and absolute satisfaction of all other conditions set forth herein.

2. Qualifying Products

To be eligible for a rebate under this Program, the purchaser must purchase one (1) of the following products (each, a "Qualifying Product"):

  • Bharara Queen Eau de Parfum, OR

  • Bharara Onyx Eau de Parfum

The Qualifying Product must be purchased directly from the Company's official website located at [https://www.bhararabeauty.com/](https://www.bhararabeauty.com/) during the active Purchase Window.

3. Purchasing a Qualifying Product & Selection

Purchases of a Qualifying Product must be completed entirely during the following time period (the "Purchase Window"):

  • Start: July 15, 2026, at 11:59:00 p.m. Eastern Standard Time (EST)

  • End: July 19, 2026, at 3:00:00 p.m. Eastern Standard Time (EST)

The timestamp on the purchase receipt issued automatically by the Company's e-commerce platform shall be the sole, official, and final determinant of whether a purchase was executed within the Purchase Window.

At the time of checkout during the purchase of a Qualifying Product, the purchaser must utilize the provided selection mechanism to choose one (1) participating finalist country competing in the final match of the global soccer tournament (the "World Soccer Championship Match").

The available country selection options will be populated on the website once the two finalist teams are officially determined. Team selection is final at the moment of checkout and cannot be changed, modified, altered, or substituted under any circumstances.

The conditional rebate is strictly limited to the purchase of one (1) single item per customer/household.

4. Eligibility

To be eligible for a rebate under this Program, a purchaser must satisfy ALL of the following requirements at the time of purchase:

  • Must be a legal resident of the United States of America;

  • Must be eighteen (18) years of age or older;

  • Must provide a valid, verifiable domestic street address designated for shipping the Qualifying Product, located within the United States (P.O. Boxes are excluded).

5. Ineligible Purchases

The following purchases and persons are NOT eligible to participate in this Program or receive any rebate:

  1. Purchases executed outside the defined Purchase Window;

  2. Purchases of any products other than the explicitly listed Qualifying Products;

  3. Purchases made by a purchaser who, through intent or error, provided false, fraudulent, or inaccurate information of any kind;

  4. Purchases made by a purchaser who owes money to the Company, or has a history of disputed, charged back, recalled, or failed payments;

  5. Purchases of Qualifying Products which have been returned to sender, rejected at delivery, canceled prior to shipping, or otherwise did not successfully reach the shipping address provided;

  6. Purchases for which an invalid, incomplete, or undeliverable shipping address has been provided; and

  7. Purchases made by employees, officers, directors, shareholders, independent contractors, and managers of the Company, its parent companies, subsidiaries, or related entities, as well as immediate family members or members of the same household thereof.

6. Rebate Conditions

A purchaser shall be eligible to receive a rebate of the purchase price of one (1) Qualifying Product if and only if ALL of the following conditions are met:

  1. The purchaser satisfies all eligibility criteria and none of the ineligibility exclusions described herein-above;

  2. The purchaser selected, at the exact time of checkout, the winning country team that officially wins the World Soccer Championship Match (the "Winning Team").

For purposes of this Program, the "Winning Team" is defined as the national team that wins the final match of the tournament scheduled to be played on July 19, 2026. The official determination of the Winning Team shall be based solely on the final match result as certified by the tournament's governing body. The winning team includes victory achieved during regular match play, extra time, or sudden-death penalty shootouts.

7. Rebate Amount

The rebate amount shall be equal to a full, 100% refund of the total amount paid by the customer for one (1) single Qualifying Product only. This rebate explicitly includes the retail purchase price, any applicable state or local sales taxes, and shipping and handling fees associated directly with the transaction for that single item. If other non-Qualifying Products are included in the same transaction, taxes and shipping fees will only be refunded prorated to the cost of the single Qualifying Product.

No rebate will be issued under any circumstances unless a valid Winning Team selection was successfully recorded by the e-commerce system at the exact time of checkout.

8. Rebate Method & Timeline

Rebates shall be processed and issued directly via the Company's e-commerce platform as a digital refund back to the original payment method (credit card, debit card, or third-party processor) utilized at checkout. No physical checks will be issued. All qualifying refunds will be initiated on or before August 19, 2026, provided that all eligibility requirements have been fully verified and satisfied by the Company. (The exact timing of funds hitting the purchaser's account depends entirely upon the purchaser's financial institution).

The Company reserves the right to reasonably delay the processing or initiation of digital rebate refunds under the following circumstances:

  • Force Majeure: Acts of God, war, terrorism, civil unrest, labor disputes, natural disasters, pandemics, government orders, or any event beyond the reasonable control of the Company.

  • Undecided Match Result: The final result of the World Soccer Championship Match is legally disputed, under official investigation, or otherwise not finally determined by the governing sports body.

  • Eligibility Verification: Additional auditing time is required to verify that a purchaser satisfies all eligibility and anti-fraud requirements set forth in these Terms and Conditions.

  • Legal Compliance: Initiating a refund to a particular jurisdiction or individual would violate any applicable federal, state, or local law, statute, or regulation.

9. Governing Law & Jurisdiction

These Terms and Conditions and any disputes arising out of or related to this Program shall be governed by, interpreted, and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles.

Any legal action, suit, or proceeding arising out of or relating to these Terms and Conditions or this Program shall be instituted exclusively in the state or federal courts located in Bergen County, New Jersey, and each participant irrevocably submits to the exclusive personal jurisdiction of such courts.

10. Void Where Prohibited & Program Modifications

This Program is strictly void where prohibited or restricted by law. The Company reserves the right to modify, suspend, or terminate this Program immediately if it is determined by legal counsel that the Program violates any applicable local, state, or federal statute, ordinance, or consumer protection regulation.

This rebate promotion is a standalone offer and cannot be combined with any other active offers, coupon codes, holiday promotions, automatic discounts, or other rebate programs offered by the Company.

11. Liability Limitations & Contract Provisions

To the fullest extent permitted by applicable New Jersey law, the Company shall not be held liable or legally responsible for:

  • Any typographical, printing, clerical, or administrative errors in these Terms and Conditions or any marketing, social media, or promotional assets;

  • Technical malfunctions, server crashes, API failures, checkout glitches, or database errors related to the Company's website, Shopify/e-commerce platform, or third-party payment gateways;

  • Any unauthorized human or digital intervention, hacking, or data breaches affecting the Program integrity;

  • Any injury, financial loss, or damage of any kind arising directly or indirectly out of participation in this Program or the processing, receipt, or use of any issued rebate refund.

The Company reserves the right, in its sole and absolute discretion, to modify, suspend, or terminate this Program at any time if fraud, technical failures, bad-actor manipulation, or any other factor beyond the Company's reasonable control impairs the integrity, security, or proper functioning of the promotion. If any specific provision of these Terms and Conditions is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired.

These Terms and Conditions constitute the entire legal agreement between the Company and each participant with respect to this sales promotion and completely supersede all prior or contemporaneous oral or written understandings, advertisements, emails, or representations.
